What is a META merger?
Connecticut's Model Entity Transaction Act (“META”) allows different types of business entities to merge or convert. For example, a corporation that merges with a Limited Liability Company (LLC). This is different from a standard merger where two or more entities of the same type merge.
The META was adopted by the Connecticut General Assembly in 2011 and went into effect on January 1, 2014. It's based on a model act created by the American Bar Association and the National Conference of Commissioners on Uniform State Laws.
