Is a Dissolution Authorization Date the Same as a Backdate?

The date your board of directors or shareholders authorize a dissolution is known as the authorization date. This date will always occur before your dissolution date because you have to hold a corporate meeting to authorize the dissolution before you file the dissolution.

Authorization date is NOT the date your business was dissolved, but the date on which the decision to dissolve was made. It is also not a backdate for a dissolution. 

Businesses in Connecticut are not allowed to backdate a business dissolution. The date of dissolution is always the date on which your dissolution is filed.
