Can CT penalize me for doing business as an unauthorized foreign entity?

If you are a foreign business entity and have been doing business in the State of Connecticut without authorization for more than 90 days, our Foreign Investigations Unit will contact you regarding fees and penalties due. You will receive a demand letter from the Foreign Investigation Unit notifying you that you've been transacting business in Connecticut in violation of the Connecticut General Statutes.

To make a penalty payment, log into your Business.CT account and navigate to “Foreign Investigation Penalty.” This option is available for Foreign Limited Liability Partnerships, Foreign Limited Liability Companies, Corporations, Foreign Limited Partnerships, and Foreign Statutory trusts.

If you want to dispute the fees please email foreigninvestigation@ct.gov. You may be asked to submit an affidavit containing facts that might reduce your penalty, or to respond to interrogatories, which are questions answered under oath.
