Have you already submitted a form for your Connecticut business but need to make changes?

You can change most of your business information on your annual report. You can also change some items on your business formation document. It depends on your business entity type.

Downloadable amendment forms for each business type can be found below. You can also file directly online when you log in to your Business.CT.gov account.

How to file

Log in to your Business.CT.gov account to file online or download the PDF to file by mail, in person, or to submit a paper filing online.

You will need to create an account or log into Business.CT.gov to file a form online or submit a paper filing online. You can pay the fees for online filing securely using Mastercard, Visa, Discover, or Amex.

For filings submitted by postal mail or in person, please make checks payable to: Secretary of the State.

Change Annual Report

You can change most of the business info in your annual report for your corporation or LLC after you submit it. The information you can change on your CT annual report includes:

  • Business mailing and physical office addresses
  • Registered agent information
  • Names, titles, and addresses of officers, directors, managers, or members.
  • Business email addresses used to receive notifications and reminders
  • NAICS code, a self-reported six-digit code that classifies the business's main activity.

These changes can be made within 30 days of the annual report's due date for an $80 filing fee.

Change a business name

You can change your business name easily online through an amendment filing. Your new business name must be available for use in Connecticut, and you must pay the associated fee. Name change fees for the different business types are:

  • The business name change fee for a limited liability company (LLC) is $120.
  • The business name change fee for a limited liability partnership (LLP) is $120.
  • The business name change fee for a stock corporation is $100.
  • The business name change fee for a non-stock corporation is $20.

Change a business address

You can change your business address online for a fee of $50 for any business type. You can change your business address at any time. You can also update your business address in your annual report. Business address changes apply to the main physical or mailing address for the business.

Change business principals

All types of businesses may file an Interim Notice to change business principals online (including members or officers). The fee is $20. You can also update your principal information in your Annual Report.

Change a Certificate of Organization

To change your Connecticut Certificate of Organization, file a Certificate of Amendment with the Secretary of State (SOTS). The changes that can be made vary depending on your business type.

Domestic LLCs can make changes to their original formation document. This includes business name, address, or principal information changes. Use the Domestic LLC Certificate of Amendment form (PDF) to make these changes. The filing fee is $120.

Domestic corporations can only change the business name and agents' info. They can do this by filing a Certificate of Amendment for Stock Corporations. The fee is $100.

Domestic non-stock corporations can amend, restate, or amend and restate a Certificate of Organization. To do this, you must file the Certificate of Amendment for Nonstock Corporations (PDF). The fee is $20.

Change a corporation's business tax return

Corporations must use Form CT-1120X, Amended Corporation Business Tax Return (PDF) to fix errors on a return.

  • Federal Changes: If a change was made to your federal return that affects your Connecticut tax, file Form CT-1120X.
  • Reporting Deadline: Report federal adjustments to the Commissioner of Revenue Services. You must do this within 90 days of the IRS's final decision. Attach a copy of federal Form CT-1120X.
  • Extension Request: To request an extension for reporting federal audit changes, submit a written request to the Commissioner of Revenue Services. Explain why you need more time.

Change a domestic LLC’s original formation document

A domestic LLC can edit any part of its formation document. This includes but is not limited to:

  • Business name
  • Business address
  • Principal information

You can file a domestic limited liability company Certificate of Amendment (PDF) to change your domestic LLC’s certificate of organization. There is a fee of $120. You’ll need to provide a new name, including the business designation. You can also change most of your business information on the annual report. Change a domestic non-stock corporation’s original formation document

To change the Certificate of Incorporation for a Connecticut domestic non-stock corporation, you need to file a Certificate of Amendment (PDF). The filing fee is $20. Use the Certificate of Amendment to change:

  • Agent information
  • Business name
  • Business address

An authorized representative of the non-stock corporation must sign the Certificate of Amendment. This person needs to print or type their name, state their role in the company, and sign the form.

Change a domestic stock corporation’s original formation document

To change the Certificate of Incorporation for a Connecticut domestic stock corporation, you need to file a Certificate of Amendment (PDF). The filing fee is $100. Use the Certificate of Amendment to change:

  • Agent information
  • Business name
  • Number of shares in a stock company

An authorized representative of the company must sign the Certificate of Amendment. This person needs to print or type their name, state their role in the company, and sign the form.

Change a registered agent

All types of businesses can change a registered agent online or by using the Change of Agent form (PDF). The filing fee is $20 for non-stock (non-profit) corporations. The fee is $50 for all other business entities.
