Reinstatement After Voluntary Dissolution vs Administrative Dissolution

Can I Reinstate My Business Following Administrative Dissolution?

You may or may not be able to reinstate your business following an administrative dissolution, depending on entity type and circumstances. An LLC can be reinstated only if it was not dissolved by decree of court (C.G.S. § 34-267b). Corporations may reinstate only if they were administratively dissolved (C.G.S. § 33-892). If the business name of an LLC or Corporation to be reinstated is no longer available, it has to be changed at the time of reinstatement to an available name by amendment to the certificate of organization or incorporation.
